# Terms of Service

Please read these Terms of Service ("Terms") carefully before using ASIST (https://asist.kr) operated by ASIST ("we", "our", "us").
## 1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part, you may not access the Service.
## 2. Description of Service
ASIST is an AI-powered video generation platform that allows users to:
- Upload reference images and videos
- Generate motion-applied videos using AI technology
- Manage credits and subscriptions
## 3. Accounts
### 3.1 Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials.
### 3.2 Eligibility
You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.
### 3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms.
## 4. Subscriptions and Payments
### 4.1 Plans
- We offer monthly subscription plans with varying credit allocations:
- **Basic**: $9/month
- **Semi-Pro**: $50/month
- **Pro**: $200/month
- Plans can be upgraded or downgraded at any time
### 4.2 Billing
- Subscriptions are billed monthly via Polar.sh / Stripe
- Prices are in USD
- All sales are final unless otherwise required by law
### 4.3 Credits
- Credits are used to generate videos (200 credits per second of video)
- Subscription credits are granted monthly and DO NOT roll over to the next billing period
- When a new billing cycle begins, credits are reset to the plan's monthly allocation
- Purchased add-on credits are added to the current balance but expire after 30 days from the date of purchase
- All credits (subscription and add-on) are reset to zero when a new billing cycle begins
- Credits are non-refundable except when video generation fails (automatic refund)
### 4.4 Plan Changes
- Upgrading to a higher plan takes effect immediately with prorated billing
- Upgrading grants the new plan's full credit allocation immediately
- Downgrading to a lower plan takes effect at the next billing period
- Downgrading does NOT trigger any refund; the current plan remains active until the billing period ends
- No partial refunds for unused portions of the billing period
### 4.5 Cancellation
- You may cancel your subscription at any time from the Price page
- Upon cancellation, ALL remaining credits are immediately and permanently forfeited
- Cancellation takes effect immediately; all features are restricted after cancellation
- This action cannot be undone
- No refunds are provided for cancellation
### 4.6 Add-on Credits
- Add-on credits can be purchased by active subscribers only
- Add-on credits expire 30 days after purchase
- Add-on credits are non-refundable
## 5. User Content
### 5.1 Ownership
You retain ownership of content you upload (images, videos). You grant us a limited license to process this content for the purpose of providing the Service.
### 5.2 Generated Content
Output videos generated by the Service are owned by you. You may use them for any lawful purpose.
### 5.3 Prohibited Content
You may not upload content that:
- Infringes on intellectual property rights
- Contains illegal, harmful, or offensive material
- Violates any applicable laws or regulations
- Contains malware or malicious code
## 6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to reverse-engineer the AI models
- Circumvent credit or payment systems
- Overload or interfere with the Service infrastructure
- Create content that violates others rights or applicable laws
- Share account credentials with others
- Use automated tools to access the Service without permission
## 7. Intellectual Property
The Service, including its original content, features, and functionality, is owned by ASIST and protected by international copyright, trademark, and other intellectual property laws.
## 8. Third-Party Services
The Service integrates with third-party services (Clerk, Supabase, Polar.sh, Kling AI, etc.). Your use of these services is subject to their respective terms and privacy policies.
## 9. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
- Merchantability or fitness for a particular purpose
- Uninterrupted or error-free operation
- Accuracy or reliability of AI-generated content
- Quality of generated videos
## 10. Limitation of Liability
In no event shall ASIST be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from:
- Your use or inability to use the Service
- Any unauthorized access to your data
- AI generation failures or quality issues
- Service interruptions or downtime
Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.
## 11. Indemnification
You agree to indemnify and hold harmless ASIST from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
## 12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.
## 13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes. Your continued use of the Service after changes constitutes acceptance of the new Terms.
